Ms. NingZhou (“Ms. Zhou”), independent director of the board of directors (“Board”) and member of the board’s audit committee (“Audit Committee”), has resigned from both the Board and the Audit Committee, effective from February 26, 2023. Ms.’s resignation Zhou is not the result of disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
After Zhou’s resignation becomes effective, the Board will consist of five directors, including two independent directors.
